1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you (an individual or the entity you represent) and Operlio (“Operlio,” “we,” “us”) governing access to and use of our websites, applications (including progressive web apps), APIs, and related field-service software (the “Service”). By creating an account, inviting users, or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

2. The Service

Operlio provides software to help field-service businesses schedule and execute jobs, capture photo proof, coordinate crews, communicate about work, and create or collect invoices. Features may depend on your plan and on third-party credentials you configure (for example Stripe, email, or SMS providers). We may modify, add, or discontinue features with reasonable notice when practicable.

Operlio is not a law firm, accountant, payroll provider, or payment processor. Payment processing is provided by Stripe or similar providers under their terms.

3. Accounts and eligibility

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account and for ensuring invited users comply with these Terms. You must be at least the age of majority in your jurisdiction to create an account. Notify us promptly of unauthorized access.

4. Customer data and responsibilities

You retain ownership of content and data you upload or generate in your workspace (“Customer Data”), including customer records, job details, photos, and messages. You grant Operlio a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service, prevent abuse, and comply with law.

You are responsible for:

  • Having lawful rights to collect and use Customer Data (including end-customer and employee data);
  • Configuring quality, messaging, and consent settings appropriately for your business and jurisdiction;
  • The accuracy of invoices, tax rates, and amounts you charge;
  • Backing up critical records as needed for your operations;
  • Not uploading unlawful, infringing, or harmful content.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or deceptive purposes;
  • Probe, scan, or breach security or authentication measures;
  • Interfere with or disrupt the Service or other customers;
  • Reverse engineer the Service except where prohibited restrictions are unlawful;
  • Resell or sublicense the Service except under a written agreement with Operlio;
  • Send spam or messages without required consent under applicable anti-spam laws (including Canada’s CASL where it applies);
  • Misrepresent your identity or affiliation.

We may suspend or terminate access for violations or risk to the Service or others.

6. Plans, fees, and taxes

Paid plans and features are described on our Pricing page or in a separate order form. Fees are typically billed in CAD unless stated otherwise. You authorize us (and our payment processors) to charge applicable subscription fees, usage charges, and taxes. Except where required by law or expressly stated, fees are non-refundable. We may change prices with notice; continued use after the effective date constitutes acceptance of the new pricing for subsequent periods.

7. Third-party services

The Service may integrate with third parties such as Stripe, Resend, Twilio, mapping providers, or hosting vendors. Your use of those services may be subject to their terms. Operlio is not responsible for third-party outages, policy changes, or data handling beyond our contractual arrangements with them.

8. Intellectual property

Operlio and its licensors own the Service, including software, design, trademarks, and documentation. Except for the limited right to use the Service under these Terms, no rights are granted. Feedback you provide may be used by Operlio without obligation to you.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted).

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERLIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT JOB OUTCOMES, INVOICES, OR MESSAGES WILL MEET YOUR BUSINESS REQUIREMENTS WITHOUT YOUR REVIEW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERLIO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO OPERLIO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

12. Indemnity

You will defend and indemnify Operlio against claims, damages, and expenses arising from your Customer Data, your use of the Service in violation of these Terms or law, or disputes with your employees or end customers, except to the extent caused by Operlio’s willful misconduct.

13. Term and termination

These Terms apply while you use the Service. You may stop using the Service and request account closure. We may suspend or terminate for breach, non-payment, legal risk, or discontinuation of the Service. Upon termination, your right to access the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive.

14. Governing law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts located in Winnipeg, Manitoba will have exclusive jurisdiction, except where applicable law requires otherwise for consumers.

15. Changes to these Terms

We may update these Terms by posting a revised version with a new “Last updated” date. If changes are material, we will provide additional notice when reasonably practicable. Continued use after the effective date constitutes acceptance.
